Governing protocols for engagement with Prime Directive Labs infrastructure and the AETERNOS protocol.
1. Introduction
These Terms of Service ("Terms") govern your access to and use of the websites, applications, and services provided by Prime Directive Labs Inc. ("PDL", "we", "us", or "our") and your participation in the AETERNOS protocol.
By accessing our website or using our services, you agree to be bound by these Terms. If you do not agree, do not use our services.
2. Entities
Prime Directive Labs Inc.
Prime Directive Labs Inc. is a Canadian corporation that operates this website and develops coordination infrastructure technology.

Prime Directive Foundation
The Prime Directive Foundation is a Cayman Islands foundation company that administers the AETERNOS protocol governance and manages the protocol treasury.

- Purpose: Governance administration
2.3 Relationship Between Entities
PDL Inc. develops technology under contract with the Foundation. The Foundation governs the protocol independently. These are separate legal entities with distinct responsibilities.
3. Website Use
3.1 Eligibility
You must be at least 18 years old and capable of forming a binding contract to use our services. By using our services, you represent that you meet these requirements.
3.2 Permitted Use
You may use our website for lawful purposes only. You agree not to:
- Violate any applicable law or regulation
- Infringe on intellectual property rights
- Transmit malicious code or interfere with our systems
- Attempt to gain unauthorized access to our systems
- Use automated systems to scrape or collect data without permission
- Misrepresent your identity or affiliation
3.3 Account Responsibility
If you create an account, you are responsible for maintaining the confidentiality of your credentials and for all activity under your account.
4. AETERNOS Protocol
4.1 Protocol Description
AETERNOS is a decentralized coordination protocol that enables governance and coordination across autonomous systems. The protocol operates on blockchain infrastructure and is governed by its participants through the Prime Directive Foundation.
4.2 Protocol Access
Access to the AETERNOS protocol requires compatible wallet software and may require holding AETERNOS tokens for certain functions. You are solely responsible for:
- Securing your private keys and wallet credentials
- Understanding blockchain technology and its risks
- Verifying transaction details before confirmation
- Paying network fees (gas) required for transactions
4.3 Protocol Governance
Token holders may participate in protocol governance by voting on proposals. Governance rights are functional utilities, not ownership interests in any entity.
4.4 No Control Over Protocol
Once deployed, the protocol operates according to its smart contract code. Neither PDL Inc. nor the Foundation can reverse transactions, recover lost tokens, or override protocol rules except through governance processes.
5. AETERNOS Token
5.1 Token Nature
AETERNOS is a utility token that provides functional access to the AETERNOS protocol. The token is NOT:
5.2 Token Utility
AETERNOS tokens provide the following utilities:
- Governance: Vote on protocol parameters, system priorities, and resource allocation proposals.
- Access: Use features and services across Sentinel systems that require token-based access.
- Participation: Submit proposals, participate in coordination mechanisms, and contribute to protocol development.
5.3 No Expectation of Profit
You acknowledge that:
- Tokens are acquired for utility purposes, not investment
- There is no expectation of profit from the efforts of PDL Inc., the Foundation, or any third party
- Token value may fluctuate or become zero
- No party has promised or guaranteed any financial return
5.4 Token Acquisition & Restrictions
Tokens may be acquired through protocol participation, ecosystem grants, or secondary markets. All acquisitions are final with no refunds. You agree not to acquire tokens for speculation, money laundering, or if prohibited by your jurisdiction.
6. Risks
Technology Risks
Smart contract bugs, network failures, wallet incompatibility, and irreversible loss of private keys.
Regulatory Risks
Changes in laws restricting token use, tax treatment changes, and enforcement actions.
Market Risks
Tokens may have no liquidity, value may decline to zero, and exchanges may delist tokens.
Operational Risks
Entity cessation, development delays, third-party service failures, and security breaches.
By using our services or acquiring tokens, you acknowledge that you understand these risks and accept them. You should only participate with funds you can afford to lose entirely.
7. Geographic Restrictions
Our services and token distribution are not available to residents of:
- United States of America (pending regulatory clarity)
- Countries subject to OFAC sanctions
- Jurisdictions where cryptocurrency is prohibited
- Any jurisdiction where our services would be unlawful
You are solely responsible for determining whether your use of our services complies with applicable laws in your jurisdiction.
8. Intellectual Property
8.1 PDL Ownership
PDL Inc. owns all intellectual property rights in the website, branding, documentation, and proprietary technology, except for open-source components and protocol code licensed to the Foundation.
8.2 Protocol Code
The AETERNOS protocol smart contracts are licensed under open-source terms as specified in the code repositories. This license does not grant rights to PDL trademarks or branding.
8.3 User Content
If you submit content to our platforms, you grant us a non-exclusive, worldwide, royalty-free license to use, display, and distribute that content in connection with our services.
9. Privacy & Third-Party Services
Your use of our services is subject to our Privacy Policy. Our services may integrate with third-party services (blockchains, wallets, exchanges) which we do not control and for which we are not responsible.
10. Disclaimers & Liability
NO WARRANTIES
Our services are provided "as is" and "as available" without warranties of any kind. Nothing on our website constitutes legal, financial, tax, or investment advice.
LIMITATION OF LIABILITY
To the maximum extent permitted by law, PDL Inc., the Foundation, and their agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages. Our total liability shall not exceed the greater of the amount you paid us in the preceding 12 months or $100 CAD.
11. Indemnification
You agree to indemnify and hold harmless PDL Inc., the Foundation, and their agents from any claims arising from your use of our services, violation of these Terms, or violation of applicable laws.
12. Dispute Resolution
- Governing Law: Laws of the Province of Quebec and federal laws of Canada.
- Arbitration: Binding arbitration in Montréal, Quebec, under ADR Institute of Canada rules.
- Class Action Waiver: You waive any right to participate in class actions or class arbitrations.
13. Modifications & Termination
We may modify these Terms at any time. Your continued use constitutes acceptance. We may suspend or terminate your access at any time with or without cause.
